Why C&N Auditors
There are two basic Alternative Investment Fund structures in Cyprus, one without any limitation in the number of investors and the second with a limitation of investors to a maximum of 5. AIFs may be registered as investment companies with variable or fixed capital, a limited partnership or a common fund in case of unlimited number of investors.
AIF WITH LIMITED NUMBER OF INVESTORS
may be marketed only to well-informed and/or professional investors (WIPIs)
cannot exceed 75 investors / unit holders
can be self managed
can set up as an umbrella with multiple independent compartments
no investment restrictions
If total assets of the fund are less than €5mln or the fund has up to 5 investors, then the requirement to appoint a custodian may be waived.
